Terms and Conditions

 

1. Registration

(1) The registration form shall be sent back to G+J Expomedia Events GmbH (hereinafter called G+J EME) by the relevant closing date for registration, filled out completely and with a legally authorised signature. The submission of the application form does not yet create any right to registration for the exhibition; no contract comes into existence until G+J EME has confirmed the registration via invoice/stand confirmation.

(2) Orders for services or technical facilities shall only be accepted if submitted on the relevant preprinted forms.

(3) G+J EME shall accept no special terms or reservations in connection with the registration unless it has expressly confirmed them in writing.

(4) Any special requests for placement shall be taken into account as fully as possible but the exhibitor shall have no right to any particular placement. Exhibition space shall be allocated in the sequence in which registrations are received.The exhibitor shall not be granted the exclusion of competition.
If any area is already booked out before the deadline of registration, G+J EME shall inform the exhibitor without delay, shall return any payments already made, and shall be free to cancel the contract.

(5) By submitting his registration the exhibitor acknowledges these present “General Terms and Conditions for Exhibitions” and any “Special terms and conditions for exhibitions”, “Technical guidelines”, and the works regulations at the exhibition venue. G+J EME hereby rejects any general terms of business that the exhibitor may use.


2. Group Stands and Sub-Exhibitors

(1) The allocated stand area shall not be handed over to third parties, nor any part thereof, unless G+J EME has given its prior written agreement or an exchange has been made with other exhibitors.

(2) For each co-exhibitor or sub-exhibitor G+J EME shall charge the principal exhibitor an additional fee for the registration and the catalogue entry.

(3) The principal exhibitor shall bear legal liability towards G+J EME for any costs incurred or damage caused by himself or any co-exhibitor or sub-exhibitor.

(4) If any co-exhibitor or sub-exhibitor is taken onto the exhibition space without the consent of G+J EME, G+J EME shall be entitled to terminate the contract with the exhibitor without notice or alternatively to have the stand cleared at the exhibitor’s expense.

(5) G+J EME shall be entitled to arrange for the area to be cleared at the exhibitor’s expense. Exhibition objects shall be stored in any such case at the exhibitor’s cost and risk. G+J EME shall acquire rights of attachment over the objects in storage up to the amount of the costs it has incurred. G+J EME shall also be entitled to dispose freely of these objects, after having given written notice of its intention, in order to recoup any outstanding payments. Any surplus shall be paid out to the exhibitor after deduction of all costs.

(6) In the event of the attached goods being damaged, destroyed or lost, G+J EME liability shall be limited iol in regard to intent and gross negligence.

(7) The exhibitor shall release and absolve G+J EME from all claims for damages that may be raised by any unauthorised co-exhibitors or sub-exhibitors.


3. Costs and Terms of Payment

(1) The cost of participation at the exhibition shall comprise the following positions:

  1. registration fee
  2. stand rental
  3. stand construction (if booked on registration form)
  4. fee for compulsory entry in the exhibitor catalogue and internet listing

(2) Orders for stand designs and other services shall be invoiced separately with a late charge of 50 percent should they arrive with G+J EME after the relevant closing date.

(3) Unless anything to the contrary is expressly agreed to on the invoice, half of the participation costs defined shall be due for payment upon receipt of invoice, and the other half two months before the exhibition is due to start, without deduction in either case.

(4) If the exhibitor falls into arrears of payment,  G+J EME shall be entitled to terminate the contract without notice. The exhibitor will be invoiced according to the terms of payment indicated in 4.(3) .

(5) G+J EME shall be entitled to arrange for the area to be cleared at the exhibitor’s expense. Exhibition objects shall be stored in any such case at the exhibitor’s cost and risk. G+J EME shall acquire rights of attachment over the objects in storage up to the amount of the costs it has incurred. G+J EME shall also be entitled to dispose freely of these objects, after having given written notice of its intention, in order to recoup any outstanding payments. Any surplus shall be paid out to the exhibitor after deduction of all costs.

(6) In the event of the attached goods being damaged, destroyed or lost, G+J EME liability shall be limited in regard to intent and gross negligence.


4. Exhibitor’s Right of Cancellation

(1) The exhibitor shall be free to cancel his reservation, and thus also the contract, up to two days before the exhibition is due to start (contractual right of cancellation).

(2) Any such cancellation shall be declared to G+J EME by written notice and shall be declared effective on receipt of the exhibitor's cancellation.

(3) In the event of any such cancellation the exhibitor shall pay the following amounts:

  • up to six months prior to the start of the exhibition: 25 percent of the agreed exhibitor’s amount (stand/floor rental and all other agreed services)
  • up to three months prior to the start of the exhibition: 50 percent of the agreed exhibitor’s amount (stand/floor rental and all other agreed services)
  • at any later stage: 100 percent of the agreed exhibitor’s amount (stand/floor rental and all other agreed services).

5. Warrantee

(1) Any complaints regarding possible defects on the stand or in the exhibition area shall be reported to G+J EME in writing, without delay, and in no case later than on the last dismantling day, so that G+J EME can rectify any existing defects. No later complaints can be considered, and shall give rise to a claim against G+J EME.


6. Exhibition Goods

(1) The exhibitor shall file with G+J EME a list of all his main exhibits no later than 30 days prior to the opening of the exhibition.

(2) No exhibits that could catch fire or create intensive vibration, noise, or smell shall be displayed unless, until, and to the extent that G+J EME’s express permission has been given.

(3) Exhibition items shall not be removed during the exhibition period unless they have been destroyed or seriously damaged. The exhibitor shall bear the costs of any violation.

(4) Exhibition items that cause any major disturbance to exhibition operations through any such external characteristics as appearance, odour, noises, or vibration, and in particular any that expose other exhibitors, visitors, or the goods of other exhibitors to danger or hindrance shall be secured without delay as soon as G+J EME so requests, or at G+J EME’s choice taken out of operation or removed completely if there is no other way of avoiding disturbance to the exhibition.

(5) This obligation shall be incumbent on the exhibitor even if he has referred to such characteristics in his registration and G+J EME has given its approval. Claims under these conditions shall accrue to the exhibitor if the prerequisite conditions are met. He shall have no right to cancel the contract unless G+J EME can be demonstrated to have culpably violated any of its obligations.

(6) If the exhibitor fails to accede without delay to G+J EME’s request, G+J EME shall be entitled to remove those of the exhibitor’s goods that have given rise to the complaint, and to do so at the exhibitor’s risk and cost. G+J EME shall acquire rights of attachment over the objects in storage up to the amount of the costs it has incurred. G+J EME shall also be entitled to dispose freely of these objects, after having given written notice of its intention, in order to recoup any outstanding payments. Any surplus shall be paid out to the exhibitor after deduction of all costs.

(7) In the event of the attached goods being damaged, destroyed or lost, G+J EME liability shall be limited in regard to intent and gross negligence.


7. Insurance and Liability

(1) The exhibitor shall be responsible for obtaining the correct and proper insurance cover against all risks associated with transport, assembly, and dismantling, and risks arising during the exhibition, meaning in particular the risks of damage or theft.

(2) G+J EME shall be unlimitedly liable for the absence of any assured properties. The same shall apply to claims arising from harm to life and limb or to health caused by G+J EME having violated any of its obligations through negligence or through any of its statutorily authorised representatives or vic-arious agents having acted with intent or in negligence.

(3) Apart from this, G+J EME shall bear liability only if any of its statutorily authorised representatives or senior staff has also acted with intend or in gross negligence, unless an obligation has been violated adherence to which was of par-ticular significance for the attainment of the contractual purpose (a “cardinal” obligation). G+J EME shall bear liability for the culpable behaviour of any other vicarious agents and in the event of minor negligence leading to the violation of a cardinal obligation only to the extent of such loss or damage as is fore-seeable and typical of the circumstances.

(4) The exhibitor shall bear liability for all loss or damage caused to persons or property by him or by any co-exhibitor or sub-exhibitor or any of his or their employees, any person acting with his or their authority, or any of his or their exhibition objects such as machinery or equipment.

(5) The exhibitor shall release and absolve G+J EME from all claims for damages that may be raised by any unauthorised co-exhibitors or sub-exhibitors.

8. Advertising, Sales and Demonstrations

(1) An official exhibition catalogue shall be published. The exhibitor and any co-exhibitor or sub-exhibitor shall bear the cost of the catalogue entry - althought the entry in the A-Z section is free of charge.

(2) G+J EME shall be entitled to forbid the distribution or display of advertising material that could give rise to complaints.

(3) All sorts of live presentations and exhibits that should be demonstrated are only permitted if G+J EME has given its prior written approval.

(4) Even though it may have given approval, G+J EME shall be entitled at any time to limit or forbid demonstrations or advertising that leads to a serious endan-germent or encumbrance of exhibition operations, violated statutory or official regulations or good morals, or has a philosophical or polit-ical character.

(5) The exhibitor shall be solely responsible for handling transactions. G+J EME shall not accept any kind of guarantee liability or other responsibility in this regard.

(6) The exhibitor shall be responsible for sales on his stand. G+J EME shall not be liable or responsible for any of these transactions.

 

9. Security

(1) G+J EME shall inform the exhibitor if a general security service is to be planned to survey the exhibition hall.

(2) In light of the large number of people who may be on the exhibition site at any given time, however, G+J EME cannot give any kind of a guarantee that it will be under continuous surveillance and control.

(3) The exhibitor is in any case responsible for the security on his stand and his exhibition goods. An application can be made and an order placed for the appropriate security staff only with the approval of G+J EME and only with the security firm approved for this purpose. The exhibitor shall bear the costs.

(4) Exhibitors are recommended to take out the appropriate insurance against theft.

 

10. Caveat

(1) The regulations and guidelines of the host country shall take precedence at all times over these General Terms and Conditions of Exhibition.

(2) Should any individual points in these General Terms be nullified by reason of this precedence, or for any other reason, the provisions not thus affected shall remain in full force. No supplementary agreements, special approvals, or regulations of any other kind shall have any validity without G+J EME’s written consent.

(3) G+J EME shall be entitled to postpone, shorten, lengthen, or transfer events or to close them temporarily or with finality, in their entirety or in any part or parts, if major events occur outside G+J EME’s control so dictate. This shall apply in particular to Acts of God and cases of force majeure, including orders by the authorities. The exhibitor shall have the right to cancel the contract in these cases. G+J EME shall reimburse the exhibitor in respect of any expenses thus saved.

(4) In these cases the exhibitor has the right to cancel his contract.

(5) G+J EME will return the expenses in regard to the application to the exhibition.

(6) The exhibitor will not be able to claim compensation.

(7) Any staff employment are subject to German social and employment law.

(8) The exhibitor shall adhere to the relevant safety regulations under industrial, social, and trade law, to the regulations on environmental protection, fire prevention, and accident prevention, and to regulations under the laws on fair competition.

(9) He shall ensure that the personnel whom he deploys, as well as his employees and sub-exhibitors, also adhere to these rules and regulations, and shall intervene in the event of any violation.

(10) G+J EME expressly reserves the right to amend the floor plans on which the exhibitor’s registration was based at any time up to the start of the exhibition, and most especially the right to change the exhibition space allocated to the exhibitor with regard to its position, size, and/or shape, and to offer a new placement as close as possible to it in value. G+J EME shall inform the exhibitor without delay and in writing of any such changes. The exhibitor shall be entitled to issue written cancellation his registration within three days of receiving any such information if he cannot be reasonably expected to accept the changes taking account of G+J EME’s interests. Neither party shall be entitled to any claims for compensation in such an eventuality.


11. Photographing, Filming, Video Recordings, and Drawings

(1) G+J EME shall be entitled to have photographs, drawings, and film and video re-cordings made of the course of the exhibition, the stands, and the exhibition goods and to use them for advertising and/or general press publications


12. Non-compliance

(1) The exhibitor acknowledges these present “General Terms and Conditions for Exhibitions” . Should this not be the case G+J EME is entitled to cancel the contract with the exhibitor without warning.


13. Conclusion

(1) By submitting his registration the exhibitor acknowledges these present “General Terms and Conditions for Exhibitions” and any “Special terms and conditions for exhibitions”, “Technical guidelines”, and the works regulations at the exhibition venue. G+J EME hereby rejects any general terms of business that the exhibitor may use.

(2) Any additional arrangements, special permits or regulations of all sorts require written permission by G+J EME.

(3) All claims against G+J EME shall fall under the statute bar after six months. The exception to this shall be any claims based on G+J EME having acted with intent or in gross negligence, and any that are subject to a statute bar period of more than three years.


14. Place of Jurisdiction, Choice of Law, Contract Text

If the exhibitor is a registered trader or has his place of business outside Germany, the sole place of jurisdiction shall be Hamburg, Germany. G+J EME, how-ever, shall be entitled to sue the exhibitor at his place of business.


15. Applicable Law

German law shall apply to the exclusion of international civil law and of the United Nations convention on the sale of goods.
